These Terms of Service ("Terms") govern your access to and use of services and the website of BDP GLOBAL LLC ("BDP GLOBAL", "we"). By using our website or engaging our services, you agree to these Terms.

1. Scope of Services

BDP GLOBAL provides software development, design, cloud, and related professional services as defined in individual service agreements or statements of work. The website is informational and does not, by itself, constitute an offer or contract.

2. Client Responsibilities

• Provide accurate information and timely feedback required for the services.
• Obtain rights and consents necessary for any materials provided to BDP GLOBAL.
• Maintain backups of client systems and data unless otherwise agreed in writing.

3. Fees and Payment

Fees, milestones, and payment terms are defined in each statement of work. Late payments may incur interest and may result in suspension of services.

4. Intellectual Property

Unless otherwise agreed in writing, deliverables created specifically for a client become the client's property upon full payment, while pre-existing materials, frameworks, and tools remain the property of BDP GLOBAL or their respective owners.

5. Confidentiality

Each party agrees to protect the other party's confidential information and to use it only for purposes of the engagement.

6. Limitation of Liability

To the maximum extent permitted by law, BDP GLOBAL's aggregate liability arising out of or relating to the services or website shall not exceed the fees paid to BDP GLOBAL in the three (3) months preceding the event giving rise to the claim. BDP GLOBAL shall not be liable for indirect, incidental, special, or consequential damages.

7. Warranties

Services are provided in a professional manner consistent with industry standards. Except as expressly stated, the website and services are provided "as is" without warranties of any kind.

8. Termination

Either party may terminate an engagement in accordance with the terms of the applicable statement of work. Sections intended to survive termination shall remain in effect.

9. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania and the United States, without regard to conflict-of-laws principles. Disputes shall be resolved in the courts located in Philadelphia, Pennsylvania.

10. Changes to Terms

We may update these Terms from time to time. Continued use of the website after changes constitutes acceptance of the updated Terms.
